This agreement is between you and SOFI. It covers your reservation of a founder membership spot at the SOFI Pilates studio in Lynbrook, New York, before the studio opens. By checking the acceptance box and reserving a spot, you agree to this agreement, the SOFI Membership Terms, the Cancellation & Refund Policy, and the Payment Authorization, which are part of this agreement.

## 1. What you are reserving

You are reserving one founder membership spot in the tier you selected:

Only 70 founder spots exist. Your reservation holds one of them, in your selected tier, at your tier's founder rate.

## 2. Your founder rate protection

Your founder monthly rate is locked for **12 months from the date your membership begins at studio opening**, for as long as your membership remains active and in good standing. "Good standing" means your dues are paid and your membership has not been terminated for cause under the Membership Terms. After the 12-month protection period, any rate change will follow the notice and consent requirements of New York law, including your right to cancel before a higher rate takes effect.

## 3. You will not be charged today

Reserving a spot costs nothing today. To complete your reservation, you will save a payment card through Stripe, our payment processor, so that we can validate it. **Saving your card is not a charge.** No money moves when you reserve, and no money moves when your card is validated.

## 4. The opening-day founder dues charge

Your reservation is associated with your selected founder monthly dues: $219/month, $229/month, or $249/month.

- It is **not charged today.** Your first month of founder dues will be charged to your saved card **only when the SOFI studio opens** for member use. - We will email you **before** the charge, with the charge date and a cancellation link. You may cancel online any time before the charge and nothing will ever be charged. - This future charge is your first month of membership dues for the founder tier you selected. - No prepaid dues are collected before opening; your membership and monthly billing begin as described in the Membership Terms. - It is refundable as described in §7 and in the Cancellation & Refund Policy.

## 5. Payment authorization

By completing the card step you authorize SOFI, through Stripe, to (a) save your card for future use, and (b) charge your selected first month of founder dues at studio opening as described in §4. The full authorization language is in the Payment Authorization document, which is part of this agreement. You may withdraw this authorization at any time before the charge by cancelling your reservation.

## 6. How you accept this agreement

You accept this agreement electronically, by checking the acceptance box on the reservation page and clicking "reserve your founder spot." We record the version of this agreement you accepted, the time of acceptance, and technical evidence of the acceptance. You will receive a copy of this agreement by email at the address you provide. **Your cancellation rights in §7 run from the date you receive that copy.**

## 7. Your cancellation rights

**CONSUMER'S RIGHT TO CANCELLATION. YOU MAY CANCEL THIS CONTRACT WITHOUT ANY PENALTY OR FURTHER OBLIGATION WITHIN THREE (3) BUSINESS DAYS FROM THIS DATE.**

To cancel, you may use any of the following methods:

Written notice of cancellation should be subscribed (signed) by you and sent by mail or email to the address above, or submitted through the online cancellation page.

If you cancel within three (3) business days of receiving your copy of this contract, all moneys paid under this contract, if any, will be refunded within **ten (10) business days** of our receipt of your cancellation notice. Because nothing is charged at reservation, cancelling before the opening-day charge normally means there is nothing to refund — your card is simply never charged and your spot is released.

**ADDITIONAL RIGHTS TO CANCELLATION: You may also cancel this contract for any of the following reasons: If upon a doctor's order, you cannot physically receive the services because of significant physical disability for a period in excess of three months. If you die, your estate shall be relieved of any further obligation for payment under the contract not then due and owing. If you move your residence more than twenty-five miles from any health club operated by seller. If the services cease to be offered as stated in the contract.**

For cancellations under these additional rights, refunds of moneys paid are made within ten (10) business days of receipt of your cancellation notice, less amounts New York law permits us to retain for services already used. We may ask for reasonable evidence for these cancellations.

## 8. If the studio is not open within one year

If the SOFI studio and the services covered by this agreement are not available within **one (1) year** from the date you sign this agreement, this agreement is **voidable at your option**, and if you void it you will receive a full refund of any moneys paid within ten (10) business days. *(New York General Business Law §624(1).)*

## 9. Refunds

Any refund due under this agreement is paid to your original payment method within ten (10) business days of our receipt of your cancellation notice. The Cancellation & Refund Policy explains the operational details, including what happens if you cancel before versus after the opening-day charge.

## 10. General terms

- **No waiver of your claims.** Nothing in this agreement limits your right to assert against SOFI, or any assignee, any claim or defense arising out of this contract. *(GBL §623(3)–(4).)* - **No assignment to another club without your consent.** We will not assign this agreement to another health club not located on the same premises without your written consent. *(GBL §623(5).)* - **Financial security notice.** **IMPORTANT NOTICE FOR HEALTH CLUB MEMBERS: New York State law requires certain health clubs to have a bond or other form of financial security to protect members in the event the club closes. This club has posted the financial security required by law.** - **Governing law and venue:** New York; Nassau County. - **Entire agreement:** this agreement plus the Membership Terms, Cancellation & Refund Policy, Payment Authorization, Website Terms of Use, and Privacy Policy. - If any part of this agreement is unenforceable, the rest remains in effect.

These terms govern your SOFI membership. If you joined as a founder, your Founder Reservation Agreement sets your tier, rate, and rate protection; these terms cover everything else.

## 1. Membership

Your membership gives you access to the SOFI studio in Lynbrook, New York and the class types included in your tier:

- **unlimited** — unlimited reformer, mat, and yoga classes - **premium** — unlimited classes, plus member rates on privates and duets - **essentials** — founder member access at the final founder rate

Class booking, schedules, and studio capacity are managed through the SOFI app and website. Classes are subject to scheduling and capacity; we will operate a schedule reasonably sufficient to deliver what your tier includes.

## 2. When your membership starts

Your membership begins on the day the SOFI studio opens for member use. Your founder reservation holds your spot and rate until then; it is governed by the Founder Reservation Agreement, and you can cancel it any time before opening.

## 3. Dues and billing

- Your monthly dues are your tier's rate ($219, $229, or $249 for founders). - Dues are billed monthly, in equal amounts, at one-month intervals, to your saved card, starting at opening. - For founders, the opening charge is the first month of dues for the tier selected at reservation. - We never bill more than one month at a time, and your total payments will never exceed $3,600 in any year of membership.

## 4. Automatic renewal disclosure

**Your membership renews automatically each month.** Each month, your tier's monthly dues are charged to your saved card until you cancel. You can cancel at any time, online, and cancellation is at least as easy as signing up. There is no cancellation fee. If you cancel, your membership runs through the period you have already paid for and then ends. This disclosure is provided before you consent, next to the acceptance checkbox, as New York law requires.

## 5. Founder rate protection

If you are a founder, your monthly rate is locked for **12 months from the start of your membership**, while your membership remains active and in good standing. We will not raise your rate during that period.

## 6. Rate changes after the protection period

After your rate protection ends, we may change your monthly rate only with **advance written notice**, and we will not charge you a higher rate unless we have either obtained your affirmative consent or given you clear notice and the opportunity to cancel before the higher rate takes effect, with a pro-rata refund if a higher charge occurs before you could reasonably act. *(GBL §527-a.)*

## 7. Good standing, missed payments

If a monthly charge fails, we will notify you and retry; you can update your card securely online. Your membership is in good standing while dues are current. If dues remain unpaid for 30 days after notice, we may suspend access and, after further notice, end the membership. Founder rate protection lapses if the membership ends, but we will never treat a failed charge as loss of good standing without notice and a reasonable chance to fix it.

## 8. Cancelling your membership

You may cancel at any time. We accept cancellation **online at sofipilates.com/founder/cancel, by email (contact@sofipilates.com), by phone, by mail, or in person.** Because you can join online, you can always cancel online. We accept and process cancellations no later than three (3) business days after receiving them.

Because your membership renews monthly, you may also cancel a monthly renewal within three (3) business days after that renewal takes effect, and we will accept that cancellation. *(GBL §624(4)(b).)*

## 9. Your statutory cancellation rights

**CONSUMER'S RIGHT TO CANCELLATION. YOU MAY CANCEL THIS CONTRACT WITHOUT ANY PENALTY OR FURTHER OBLIGATION WITHIN THREE (3) BUSINESS DAYS FROM THIS DATE.**

Cancellation notice may be delivered by United States mail or electronic mail to the addresses above, or through the online cancellation page. All moneys paid will be refunded within ten (10) business days of receipt of the cancellation notice.)*

If the studio and services are not available within one year from the date you signed your contract, your contract is voidable at your option with a full refund. *(GBL §624(1).)*

## 10. Refunds

Any refund due is paid to your original payment method within ten (10) business days of our receipt of your cancellation notice. Details are in the Cancellation & Refund Policy.

## 11. Health, safety, and assumption of risk

Pilates and exercise involve physical exertion. By using the studio you represent that you are physically able to participate, and you agree to follow instructor guidance and studio safety rules. **Consult your physician before beginning this or any exercise program**, particularly if you are pregnant, have a heart condition, or have any injury or condition affected by exercise. You knowingly and voluntarily assume the risks inherent in physical exercise. Nothing in these terms limits any right you have under New York law, including General Obligations Law §5-326; we do not ask you to waive claims arising from our negligence.

## 12. Studio rules and conduct

We may maintain reasonable studio rules (booking windows, late/no-show policies for classes, guest policies, equipment care, respectful conduct). Rules will be posted and applied consistently. We may end a membership for serious or repeated violation of studio rules, with dues refunded pro-rata for the unused period.

## 13. Membership freeze

Members may freeze once per 12 months for 1-3 months for medical or travel reasons; founder rate protection is tolled, not lost, during a freeze.

## 14. Financial security notice

**IMPORTANT NOTICE FOR HEALTH CLUB MEMBERS: New York State law requires certain health clubs to have a bond or other form of financial security to protect members in the event the club closes. This club has posted the financial security required by law.**

## 15. General

- **No waiver of claims or defenses.** Nothing in these terms requires you to give up any claim or defense arising out of this contract. *(GBL §623(3)–(4).)* - **No assignment** of this contract to another health club not on the same premises without your written consent. *(GBL §623(5).)* - **Notices** to you go to the email on file; notices to us go to contact@sofipilates.com or the studio address. - **Governing law and venue:** New York; Nassau County. - **Changes to these terms** apply prospectively only, with advance notice, and never reduce your statutory rights or your founder rate protection. - If any provision is unenforceable, the remainder stands.

We keep cancellation simple: you can always cancel online, it takes about a minute, and refunds — when money has actually been charged — are processed within ten business days. Here is exactly how it works.

## 1. How to cancel

Use any of these methods:

We accept and process every cancellation within three (3) business days of receiving it. Online cancellations are processed immediately and confirmed by email.

## 2. Your three-business-day right

**You may cancel without any penalty or further obligation within three (3) business days of receiving your copy of your contract.** This right is guaranteed by New York law (General Business Law §624). If anything was paid, it is refunded in full within ten (10) business days of your cancellation notice.

## 3. Cancelling before the opening-day charge

Between your reservation and studio opening, **no money has been charged** — your card was only validated. If you cancel during this window:

- your founder spot is released immediately, - your saved card is **never charged**, and - there is nothing to refund, because nothing was paid.

You will receive a cancellation confirmation email for your records.

## 4. Cancelling after the opening-day charge

If the opening-day first-month founder dues charge has happened and you then cancel:

- within your three-business-day statutory window (or under the additional statutory rights below): the **full amount charged** is refunded to your original payment method within ten (10) business days of your notice; - otherwise: the opening charge remains refundable until you have attended your first class or 30 days after opening, whichever comes first; after that, the ordinary membership cancellation terms apply.

Once you are an active member, you can cancel your month-to-month membership at any time; your membership runs through the period already paid and then ends. No cancellation fees, ever.

## 5. Pre-opening protections

- **If the studio is not open within one year** of the date you signed your contract, your contract is voidable at your option and anything paid is refunded in full within ten (10) business days. *(GBL §624(1).)* - We will email you **before** the opening-day charge with the exact charge date and a one-click cancellation link, so the charge never surprises you.

## 6. Additional statutory cancellation rights

New York law also lets you cancel after the three-day window if: a doctor orders that you cannot physically receive services due to a significant physical disability lasting more than three months; you die (your estate owes nothing further); you move more than twenty-five miles from any SOFI club; or the services stop being offered as stated in your contract. Refunds for these cancellations are made within ten (10) business days, less amounts the law permits us to retain for services already used. We may request reasonable supporting evidence.

## 7. Refund timing and method

Every refund due under this policy is processed within **ten (10) business days** of our receipt of your cancellation notice, to your **original payment method** via Stripe. Depending on your bank, the refund may take a few additional days to appear on your statement. If you financed any payment (we do not currently offer financing), any credit instrument would be returned within the same ten business days.

## 8. Operational handling (what happens behind the scenes)

- Cancelling online immediately releases your founder spot back to the pool and records your cancellation with a timestamp. - If money was charged, your cancellation record carries a refund deadline date, and our refund queue must clear it within ten business days. - You receive an email confirmation of every cancellation and every refund.

## 9. Questions or problems

Email contact@sofipilates.com. If you believe a refund is late or wrong, tell us and we will fix it. You also have rights under New York's Health Club Services Act, enforceable by the New York Attorney General and by you directly.

## 1. Saving your card — no charge today

When you complete the secure card step, you authorize SOFI PILATES LYNBROOK INC. to save your payment card on file with **Stripe**, our payment processor. This step **validates** your card; it does not charge it.

- **No charge occurs today.** Saving your card moves no money. - SOFI never sees or stores your card number. The card step happens on Stripe's secure, hosted checkout, and Stripe stores your card details. - Your card statement may show a $0 validation or a temporary authorization from your bank, which is not a charge.

## 2. The one future charge you are authorizing

You authorize SOFI to charge your saved card **one time**, for your **first month of founder membership dues** ($219, $229, or $249 based on the tier selected), when the SOFI studio opens for member use, subject to all of the following conditions:

1. **Advance notice.** We will email you at least 7 days before the charge, stating the amount, the expected charge date, and a cancellation link. 2. **Your cancellation right.** If you cancel your reservation before the charge — online at sofipilates.com/founder/cancel, or by email, phone, or mail — the charge will not occur, and this authorization ends. 3. **Fixed amount by tier.** The charge will be exactly your selected founder monthly rate: $219, $229, or $249 (USD). No other amount is authorized under this section. 4. **Applied as stated.** The charge is your first month of membership dues.

The charge will appear on your statement as **SOFI PILATES**.

## 3. If the charge fails

If the opening-day charge fails (expired card, declined, etc.), we will email you with a secure link to update your card. We may retry the charge after notifying you. A failed charge never creates a fee, and you can still cancel online at any time.

## 4. Monthly membership dues

When your membership begins, you authorize SOFI to charge your tier's monthly dues ($219, $229, or $249 for founders) to your saved card **once per month** on your billing date, until you cancel. Your membership renews automatically each month; you can cancel at any time, online, with no cancellation fee, and cancellation stops future charges. Rate changes after your founder rate protection period follow the notice and consent rules in the Membership Terms.

## 5. Withdrawing this authorization

You may withdraw this authorization at any time:

- **Before the opening-day charge:** cancel your reservation (online, email, phone, or mail). Your card is never charged. - **After your membership begins:** cancel your membership; charges stop after the period already paid for.

Withdrawal of authorization does not affect any refund rights you have under the Cancellation & Refund Policy or New York law.

## 6. Errors and disputes

If you believe a charge is wrong, email contact@sofipilates.com and we will investigate promptly and refund any error. Nothing in this authorization limits your rights with your card issuer or under applicable law.
